  • Advised Khazanah Nasional Berhad on the reorganization of its insurance and financial holding companies under the Financial Services Act 2013 and the Islamic Financial Services Act 2013.
  • Advised Danajamin Nasional Berhad on the reorganization of its financial guarantee and investment companies under the Financial Services Act 2013 and the Islamic Financial Services Act 2013.
  • Advised Bank Negara Malaysia on the setting up of The International Islamic Liquidity Management Corporation (IILM), an international institution established by central banks, monetary authorities and multilateral organisations namely the central banks and monetary agency of Indonesia, Kuwait, Luxembourg, Malaysia, Mauritius, Nigeria, Qatar, Turkey, the United Arab Emirates and the Islamic Development Bank, to create and issue short-term Shari’ah-compliant financial instruments to facilitate effective cross-border Islamic liquidity management.
  • Advised Asian Plantations Limited, a Singapore-incorporated major Sarawak oil palm plantation company listed on the London Stock Exchange’s Alternative Investment Market and its controlling shareholders on the GBP120 Million (RM628 million) takeover by Felda Global Ventures Holdings Berhad, a Malaysian Government linked company listed on the Main Market of the Malaysian Stock Exchange.
  • Advised SapuraKencana Petroleum Berhad, a major Malaysian oil and gas services company listed on the Main Market of the Malaysian Stock Exchange, on the US$2.9 billion merger of its tender rig businesses and the tender rig businesses of Norwegian deepwater driller Seadrill Ltd, one of the largest tender rig companies in the world listed on the Oslo and New York Stock Exchanges. This deal made SapuraKencana to become the world’s largest operator of tender rigs (Asian Legal Business M&A Deal of the Year Award 2013).
  • Advised Qatar Islamic Bank, the world’s largest Islamic Bank on the proposed sale of a controlling stake in Asian Finance Bank.
  • Advised Genting Energy, a division of Genting Group, one of the largest and leading Malaysian-owned multinational corporation on its RM3 billion bid for the Prai Power Plant II.
  • Advised Genting Sanyen Power Sdn Bhd, a subsidiary of Genting Berhad, one of the largest and leading Malaysian-owned multinational corporation on its RM1.5 billion bid for the Kuala Langat Power Plant extension.
  • Advised SapuraKencana Petroleum Berhad on the proposed acquisition by its Bahamian incorporated subsidiary of the entire issued and outstanding common shares of Newfield Malaysia Holding Inc for a total purchase price of US$898 million in respect of compliance with the listing requirements of the Main Market of the Malaysian Stock Exchange and the existing financing documents.
  • Advised Malaysian Phosphate Addictives Sdn. Bhd. on its RM500 Million joint venture with Cahaya Mata Sarawak Berhad, a Sarawak State Government linked company listed on the Main Market of the Malaysian Stock Exchange for the setting up and financing of manufacturing plants in Samalaju Industrial Park for the manufacture of Yellow Phosphorus, Technical grade and Food grade phosphoric acid, Coke, Ammonia, and Technical grade, Merchant grade and Fertilizer grade phosphorus and other related products.
  • Advised Pacific Century Group, a major Asia-based private investment group with interests in technology, media and telecommunications, financial services, infrastructure, property and other investments mainly in the Asia-Pacific region on its bid for the acquisition of the Malaysian AmLife and AmTakaful insurance groups.
  • Advised the State Government of Sarawak on the merger of hi-tech wafer maker and digital mixed-signal integrated circuits maker, 1st Silicon (Malaysia) Sdn. Bhd. with X-FAB Semiconductor Foundries AG of Germany, and the restructuring of the debts of US$1 billion in 1st Silicon (Malaysia) Sdn. Bhd.
  • Advised Sungei Wang Group, a major Malaysian investment group on the acquisition of Ikhlas al-Dain Sdn Bhd a factoring and money lending company.
  • Advised Melewar Industrial Group Berhad and Affin Investment Bank Berhad, a company listed on the Main Market of the Malaysian stock exchange on its proposed group restructuring and proposed disposal of Melewar Steel Tube Sdn Bhd and other assets of its steel division.
  • Advised Kenanga Investment Bank Berhad and the MClean Group on its cross-border restructuring of its group companies in China, Singapore, Thailand and Malaysia and the listing of MClean Berhad on the ACE Market of the Malaysian stock exchange.
  • Advised Nord Anglia Education Ltd, a UK education company in its proposed joint venture with Khazanah Nasional Berhad for the provision of educational services for the Malaysian Government Trust Schools Project under the Malaysian Government Economic Transformation Plan.
  • Advised Bintai Kinden Corporation Berhad, a company listed on the Main Market of the Malaysian stock exchange on its proposed reverse takeover of Singapore listed company Lereno Bio Chem Limited.
  • Advised SAM Engineering & Equipment (M) Berhad, a public company listed on the Main Market of the Malaysian stock exchange and a subsidiary of Singapore Aerospace Manufacturing and Temasek Holdings (Private) Limited on its restricted offer for sale.
  • Advised Nam Fatt Corporation Berhad, a company listed on the Malaysian stock exchange on its cross border joint venture and construction contracts with the Defence Housing Authority of Islamabad, Pakistan.
  • Advised Nam Fatt Corporation Berhad, a company listed on the Main Market of the Malaysian stock exchange and its restructuring advisers Public Investment Bank Berhad on a proposed debt restructuring and Section 176 scheme of compromise and arrangement between Nam Fatt Corporation Berhad, Nam Fatt Construction Sdn Bhd and Maddusalat Berhad with the scheme creditors and the proposed disposal by Nam Fatt Corporation Berhad of certain properties and lands owned by Nam Fatt group.
  • Advised Swee Joo Berhad, a company listed on the Main Market of the Malaysian stock exchange and its restructuring advisers Ernst & Young and Affin Investment Bank Berhad on a proposed debt restructuring and Section 176 scheme of compromise and arrangement between Swee Joo group with the scheme creditors, time charter party agreements of ships between its wholly owned subsidiary Johan Shipping and the Evergreen Line and the proposed divestment of certain non-performing/non-core assets owned by Swee Joo Berhad and its subsidiaries.

  • Advised POS Malaysia Berhad, a Malaysian Government linked company listed on the Main Market of the Malaysian stock exchange and the sole postal licence holder in Malaysia, on the setting up of an electronic money order program for South East Asia in conjunction with the postal authorities of Indonesia, Vietnam, Cambodia and Philippines.

  • Advised Malaysian Electronic Payment System Sdn Bhd (MEPS) on its management review, legal review and drafting of the MEPS Rules and Regulations.

  • Advised OTEC Kemajuan Sdn. Bhd. in the disposal by Rolls-Royce Overseas Holdings Limited of Rolls-Royce’s stake in Advance Gas Turbines Solutions Sdn. Bhd. (a Rolls-Royce and OTEC JV company) in connection with the global disposal of Rolls-Royce’s oil and gas business.
  • Advised SapuraCrest Petroleum Berhad on its RM1 Billion cross border joint venture with Acergy Ms Limited for the deep water dynamically positioned pipe laying derrick vessel Sapura 3000 and the disposal of interest in a Labuan offshore special purpose subsidiary Sapura Acergy Assets Pte. Ltd. to joint venture partner Acergy MS Limited.
  • Advised Aviva PLC on the RM1.8 billion (CAD586 million) disposal of Aviva International Holdings Limited’s equity interests in CIMB Aviva Takaful Berhad and CIMB Aviva Assurance Berhad to Sun Life Assurance Company of Canada.
  • Advised Growth Capital Partners LLP on private equity fund acquisitions and securitization of a Malaysian oil and gas entity.
  • Advised Hong Leong Bank Berhad, a major Malaysian bank on the acquisition of the assets and liabilities of EON Capital Berhad, a major Malaysian financial institution.
  • Advised a foreign bidder in its bid for the Makro Supermarket businesses in Malaysia.
